I think that community service is great so I commend those who have spent time on volunteer boards. Especially when major initiatives are underway. However, boards are democracies and operate on a consensus basis. Not all board members will be united in how they vote on each issue. However, they should go forward united on a issue once a vote has been taken. Losing on a vote for a specific issue is not a sound reason for stepping off a board. It's like handing in your passport when the party you supported didn't win the election.

I can't agree with this. So if the majority of board members decide to jump off a cliff, you as a board member are to support and go along with this?

Stepping off this board could be a very wise move legally. If the directors are not making decisions that are in the best interests of the shareholders, then this is breaking the law. The board members would certainly be held accountable and would be in very serious trouble.

Serious ways a board might not act in the best interests of the shareholders could be things like withholding key information pertinent to shareholder voting decisions, or selling off a major asset at a below market price in a sweetheart deal.

Depends on the issue. If the issue is such that the board member can not continue in good conscience than resigning is the only real option left.

People resign from all kinds of organizations for various reasons, nothing new here.

A few years ago Kristiina was elected to the Eesti Maja board with the support of its major shareholder. As a result, an incumbent director who was actively engaged with the EM-2 Tuleviku Komitee lost his place on the board.
