It is clear the Estonian House Board is attempting to limit public discourse and trying to ensure a more favourable outcome in any vote taken at meetings. This new condition regarding proxies alluded to in Allan Meiusi's article is only the latest example of attempting to limit participation at shareholder meetings. I would think for most shareholders this attitude by the Estonian House Board became apparent during the Special Shareholders meeting of Feb. 12, 2018 when Raivo Remmel on the advice of his lawyer John R. Kennedy crassly refused shareholders representing ten plus percent of the shares of Estonian House to put a resolution on the floor of the meeting for a vote. This after several hours were spent registering shares at the door for a vote.

Now Remmel is stepping down to become Vice Chairman and serve out Veiko Parming's term at that position. Parming is nominated by the Board to serve as Chairman of the Estonian House. Parming in public statements regarding the projected new Estonian Centre is as inflexible as his predecessor. He has stated that he is not ready to support or allow actions which attempt in an undefined way to subvert the will of the shareholders' decision to go forward with the Estonian Centre project which has consumed community time energy and money.

This vote that Parming refers to was won by less than 10 votes after well more than a thousand votes were cast and no recount was allowed. The new Estonian Centre is facing delays, the sale of the Estonian House will not net the $18 million figure bandied about thus increasing the financial shortfall for the new Centre. I wonder if Veiko Parming has a plan "B" if all the pieces don't fall into place soon.

Also quite disturbing is the fact that 2 Estonian House Board members recently resigned. Both were highly regarded in the community and both cited in their reasons for resigning "issues of corporate governance." It is interesting to note that those vacancies on the Board were not filled in a timely manner.

Allan Meiusi knows, of course, that "community members" don't have voting rights.
Rather, "shareholders" that have bought into that right with their hard earned money.
Again, Meiusi has composed a scare story alluding to malfeasance.
If any exists, in this instance, it's surely trivial, as very few are impacted and, surely, not enough to change a vote.

From what I recall, the vote was IN FAVOR 2/3 + 10 votes.

Is that NOT enough of a "majority"?

Yes, I witnessed the same at Joekaaru with Estonian Summer Homes Association Board. The very last thing on their mind was to encourage inclusiveness and welcome participation. In fact, the very opposite was true. Estonians within the community there, suffered a great loss as a result.
